While this is a legal document and some technical terminology is necessary, we strive to ensure you can easily understand our terms. The following outlines the Terms for our core services.OverviewThese Terms govern your use and access to the services, products, software, features, and websites (“Services”) provided by IN CO. and our affiliates, including WEB CORP, a company incorporated in California (“IN CO.”, “company”, “we”, “us”, or “our”). By using our Services and website, you agree to these Terms as well as our Privacy Policy, which we may update periodically. Your continued use of our Services or website signifies your acceptance of these updated Terms. If you disagree with these Terms or our Privacy Policy, please discontinue using our Services and website.Additionally, these Terms override any prior or existing agreements or terms and conditions that may apply. These Terms do not create any third-party beneficiary rights.Our Agreement is with YOUThese Terms apply to you (the individual), any entities for which you hire us to provide Services, and any third-parties you authorize to act on your behalf. You are personally responsible for the obligations, duties, and expectations outlined in our Terms. It is also your responsibility to inform any authorized third-parties of these obligations, duties, and expectations.Registered Agent Service and Business FilingsReceiving Service of Process & Other Legal DocumentsAs your registered agent, we accept various legal documents on your behalf and upload them into the online account we provide you. You authorize us to receive up to 15 service of process and other important communications and legal documents ("Legal Documents") per year. We reserve the right to charge a fee for receiving Legal Documents beyond this limit. This fee may be subject to change at our discretion. You agree that we can open, scan, upload, and transmit the Legal Documents to your account in connection with providing Services. Our registered agent services are limited to the receipt and forwarding of Legal Documents, and we do not assume liability for the loss of mail or other items that are not Legal Documents.Regular DocumentsDocuments received at our addresses on your company's behalf that are not related to the legal service of process are considered "Regular Documents." Depending on the Services you have purchased, there may be limits on how many Regular Documents will be accepted without additional fees. You agree to pay any fees related to the receipt and forwarding of Regular Documents that exceed your service limit.Receipt of PackagesWhile we handle service of process and legal documents, we do not accept packages or regular mail on your behalf. Packages will be refused or returned to the sender. If refusal or return is not possible, you will be informed, and you are responsible for any shipping and insurance costs. We will only hold packages for 14 days before disposing of them.Document Storage PolicyYou may provide documents to us via mail, email, or instant messaging platforms such as WeChat or WhatsApp. In the future, we may offer an online portal for document submission. You must ensure compliance with our Terms and not upload or send any illegal, dangerous, or unauthorized materials. We may review your content for compliance and terminate services if necessary. You retain ownership of your intellectual property, while we own any improvements made to our operations using your content.Service ProvidersWe may utilize third-party service providers such as couriers, attorneys, and other professionals to fulfill our registered agent duties. By using our Services, you agree that these providers may assist us.Destruction of DocumentsWe do not retain original copies of documents indefinitely. Documents are destroyed 30 days after digital scanning. Clients are responsible for requesting forwarding of important documents.Electronic Records and SignaturesWe may need to file documents on your behalf and may use your electronic or hard copy signature for this purpose. You consent to us using your signature as needed without prior authorization.We Require Current and Accurate InformationAccurate information is essential for the filings we perform on your behalf. You are responsible for providing and maintaining accurate and up-to-date information. Failure to do so is a material breach of our Terms and grounds for immediate termination of Services.Other ServicesFor all Services you purchase, including Registered Agent or Business Filings, you agree to our Acceptable Use Policy. You are responsible for providing accurate and up-to-date information.RefundsOnce we have submitted your registration documents to the relevant government authorities, the fees paid are generally non-refundable due to the non-refundable nature of government filing fees. We strive to provide accurate and efficient services; however, please understand that once the submission is made, the process is out of our control.Non-Refundable Services:1. Government Filing Fees: These fees are paid directly to the government and are non-refundable under any circumstances.
2. Service Fees: Our service fees cover the work involved in preparing and submitting your documents. Once the documents are submitted, our work is considered complete, and the service fees are non-refundable.Exceptions:1. Errors on Our Part: If an error occurs due to our mistake in preparing or submitting your documents, we will correct the issue at no additional cost to you or provide a refund of our service fee.
2. Cancellation Before Submission: If you request a cancellation before your documents are submitted to the government, we will refund the service fees paid, minus any costs already incurred. Government filing fees will only be refunded if they have not yet been paid to the government.Refund requests must be submitted in writing within 30 days of the original order date. Any requests received after this period will not be considered. Refunds, if applicable, will be processed within 10 business days of approval.This refund policy does not affect any statutory rights that may apply.SMS/Text MessagingBy providing your mobile number, you consent to receive SMS/text messages from us. Message frequency varies, and standard message and data rates may apply. You can opt-out at any time.Disputes and How To Settle ThemOne Year Time Limitation to Start a DisputeAny action relating to a dispute must commence within one year after the cause of action accrues.Dispute Resolution by Binding Arbitration and Class Action WaiverDisputes will be resolved through binding arbitration under JAMS Comprehensive Arbitration Rules. Claims will be on an individual basis, and class actions are not allowed. All disputes will be heard by a single arbitrator.We Are Not Attorneys, Accountants, CPAs or FiduciariesWe provide business services and information but do not offer legal, accounting, or fiduciary advice. Communications between us are not protected as attorney-client communications.IndemnificationYou agree to indemnify and hold us harmless from any claims, liabilities, or expenses arising from your breach of these Terms, wrongful use of Services, or failure to provide accurate information.Intellectual Property Rights & OwnershipWe own all rights to our intellectual property. Using our services does not grant you any rights to our intellectual property. Feedback is welcome but does not entitle you to any rights or compensation.Disclaimer of Warranties & Limitation of LiabilityDISCLAIMER OF WARRANTIESServices are provided "as-is" without warranties. We do not guarantee accuracy, reliability, or availability.LIMITATION OF LIABILITYWe are not liable for any indirect, consequential, or punitive damages. Our total liability will not exceed the amount paid for Services in the twelve months preceding the claim.Waiver, Severability, and Assignment of RightsThese Terms constitute the entire agreement. Failure to enforce a provision is not a waiver of the right to do so later. Terms may be assigned with prior notice and approval.AmendmentsWe may update these Terms periodically. Continued use of our Services signifies acceptance of the changes. If you disagree, stop using our Services.Governing LawThis Agreement is governed by the laws of Delaware. Any legal actions must be filed in Delaware courts. If any provision is unenforceable, the rest of the Agreement remains in effect.Force MajeureWe are not liable for service interruptions due to events beyond our control, such as natural disasters, war, or epidemics.CUSTOMER HEREBY AGREES THAT CUSTOMER HAS READ AND AGREES WITH THIS LEGAL DISCLAIMER AND TERMS AND CONDITIONS IN ITS ENTIRETY
